Chapter II: Agent's Obligations Article (1): Agent's Functions Agent shall solicit customers situated in Territory and shall transmit to Manufacturer any offers or orders received by Agent. Agent has no authority to make contracts on behalf of, or in any way to bind, Manufacturer. Agent shall bring to customer's notice the terms and conditions of sale (including delivery periods and way of payment) prescribed by Manufacturer. Manufacturer shall be free to reject any offers or orders transmitted to him by Agent.

Article (2): Advertising and Fairs Agent shall be responsible for all advertising necessary to promote Products in Territory and shall bear all expenses unless otherwise separately agreed between the parties hereto. Participation in fairs or exhibitions shall be subject to prior consultation between the parties.

Article (3): Agent's Financial Obligations Towards Customers Agent shall take all proper steps to satisfy him self as to the solvency of customers whose orders will be transmitted to Manufacturer and shall assist Manufacturer in recovering debts due. Unless otherwise agreed, Agent shall not be entitled to receive payments on behalf of Manufacturer.
المادة (4): دور الوكيل تجاه شكاوى العملاء يحق للوكيل أن يتلقى الملاحظات والشكاوى التي يقدمها العملاء عن العيوب الموجودة في المنتجات التي تم تسليمها. ويخطر الوكيل المنتج في الحال بمثل هذه الحالات ويتصرف بما يحقق مصالح المنتج على أفضل وجه.	Article (4): Agent's Role as to Complaints by Customers Agent shall be entitled to receive observations and complaints made by customers in respect of defects in Products delivered. He shall immediately inform Manufacturer of any such case and shall act in the best interests of Manufacturer.

Article (5): Manufacturer to be Kept Informed Agent shall with due diligence keep Manufacturer informed on market conditions and on the state of competition. Article (7): Confidentiality Agent shall not reveal during the currency of the Contract or after its termination the trade secrets of Manufacturer nor use such secrets for purposes other than those of the Contract.
المادة (8): الوكلاء من الباطن لا يجوز للوكيل أن يستخدم وكلاء من الباطن دون موافقة مسبقة من المنتج. ويعتبر الوكيل مسئولا بشكل كامل عن أنشطة وكلائه من الباطن.	Article (8): Sub-Agents Agent may not engage sub-Agents without the prior consent of Manufacturer. Agent shall be entirely responsible for the activities of his sub-Agents.
المادة (9): الحظر بخصوص الأقاليم الأخرى يتعهد الوكيل بعدم السعى لجلب أو التفاوض بشأن عقود مع عملاء خارج نطاق الإقليم. يخطر الوكيل المنتج بأى استفسار قد يصله من أشخاص مقيمين خارج الإقليم على أن تخضع أية عمولة مستحقة... لاتفاق منفصل.	Article (9): Prohibition in Respect of other Territories Agent shall not solicit or negotiate contracts with customers situated outside Territory. Agent shall notify Manufacturer of any inquiry made by persons situated outside Territory but any commission payable... shall be subject to a separate agreement.

Article (10): Assistance against Unfair Competition and Infringement Agent shall watch the market and if there shall come to his notice any infringement by a third party of Manufacturer's industrial property rights or any unlawful act prejudicial to Manufacturer's interests, Agent shall forthwith report the same to Manufacturer.
المادة (11) و (12): المنتجات بالمخزن وخدمات ما بعد البيع يحفظ الوكيل المنتجات وقطع الغيار المخزونة فى العقار التابع له فى حالة جيدة. ويحتفظ الوكيل بورش إصلاح طبقا للشروط الموضحة فى الفصل السابع ويقدم خدمات ما بعد البيع لجميع المنتجات فى الإقليم.	Article (11) & (12): Products in Stock and After-Sales Service Agent shall keep in sound condition Products and spare parts stored in his premises. Agent shall maintain repair shops in accordance with the provisions set out in Chapter VII and shall provide after-sale services.
الفصل الثالث: التزامات المنتج المادة (13) و (14): الحقوق الحصرية وتوفير المعلومات لا يحق للمنتج أن يمنح للغير الحق فى أن يمثله أو يبيع المنتجات فى الإقليم. ويلتزم المنتج بتزويد الوكيل بجميع المعلومات والمستندات اللازمة لمزاولة أنشطته، بما فى ذلك شروط البيع وقوائم الأسعار والمستندات الفنية.	Chapter III: Manufacturer's Obligations Article (13) & (14): Exclusive Rights and Information Manufacturer shall not grant to a third party the right to represent or sell Products in Territory. As a result of the utilization of the facilities under the Facilities Agreement, an outstanding indebtedness has arisen against the Second Party, the current balance of which amounts to SAR (350,000,000) Three hundred fifty million Saudi Riyals (the "Outstanding Indebtedness").
وحيث أن الطرف الثاني عرض على الطرف الأول سداد مبلغ (100,000,000) مائة مليون ريال "مبلغ التسوية" من المديونية القائمة وإسقاط ما تبقى منها، وفك الرهن عن الصكوك العقارية المرهونة المشار إليها أعلاه، وذلك بعد سداد مبلغ التسوية. وحيث وافق الطرف الأول على عرض الطرف الثاني وفق الشروط الواردة في هذه الاتفاقية. عليه، فقد اتفق الطرفان وهما بكامل أهليتهما المعتبرة شرعاً ونظاماً للتصرف والتعاقد وعلمهما التام بما تحتويه هذه الاتفاقية من شروط وأحكام، على ما يلي:	Whereas the Second Party has offered to pay to the First Party an amount of (100,000,000) One hundred million Saudi Riyals as the Settlement Amount in settlement of the Outstanding Indebtedness, in consideration for the waiver of the remaining balance thereof and the release of the mortgages over the mortgaged real estate title deeds referred to above, upon payment of the Settlement Amount. Whereas the First Party has accepted the Second Party’s offer in accordance with the terms and conditions set out in this Agreement. Therefore, the Parties, each having full legal and Shariah capacity to act and contract and being fully aware of the Terms and Conditions contained herein have agreed as follows:
أولاً: يعتبر التمهيد أعلاه جزءاً لا يتجزأ من هذه الاتفاقية يُقرأ ويفسر معها.	First: The above Preamble shall constitute an integral and inseparable part of this Agreement and shall be read and construed together with it.
ثانياً: اتفق الطرفان على أن يقوم الطرف الثاني بدفع مبلغ (مائة مليون ريال) فقط "مبلغ التسوية" من إجمالي مبلغ المديونية القائمة في تاريخ هذه الاتفاقية وقدرها مبلغ (350,000,000 ريال)، وذلك في موعد أقصاه xxxxxxxx.	Second: The Parties have agreed that the Second Party shall pay an amount of (One hundred million Saudi Riyals) only the Settlement Amount out of the total Outstanding Indebtedness as of the date of this Agreement, which amounts to (SAR 350,000,000), no later than xxxxxxxx.
ثالثاً: في حال التزام الطرف الثاني بسداد مبلغ التسوية الوارد في البند "ثانياً" أعلاه خلال الموعد الأقصى المحدد في ذلك البند، فإن الطرف الأول يوافق على إسقاط متبقي المديونية وإبراء ذمة الطرف الثاني منها وفك الرهن المقرر على الصكوك العقارية.	Third: In the event that the Second Party complies with the payment of the Settlement Amount referred to in Clause “Second” above within the maximum period specified therein, the First Party shall agree to waive the remaining balance of the indebtedness, release the Second Party from any liability in respect thereof, and release the mortgages established over the real estate title deeds.
رابعاً: في حال إخلال الطرف الثاني بسداد كامل مبلغ التسوية في أو قبل التاريخ المحدد في البند "ثانياً" أعلاه، تصبح هذه الاتفاقية لاغية ولا أثر لها، ويظل كامل مبلغ المديونية الموضح في هذه الاتفاقية وكافة الضمانات المرتبطة به قائمة كما هي عليه عند إبرام هذه الاتفاقية.	Fourth: In the event that the Second Party fails to pay the full Settlement Amount on or before the date specified in Clause “Second” above, this Agreement shall be deemed null and void and of no legal effect, and the full amount of the indebtedness stated herein, together with all guarantees associated therewith, shall remain valid and enforceable as they were at the time of execution of this Agreement.
خامساً: يقر كل من الطرفين بأنه اتخذ طيلة سريان هذه الاتفاقية عنوان المراسلة المبين أمام اسمه في صدر هذه الاتفاقية عنواناً لأي تبليغات أو إشعارات فيما يتعلق بهذه الاتفاقية، بحيث تعد كل مراسلات أرسلت على العنوان الخاص بكل طرف صحيحة ونافذة في حقه الذي تم إبلاغه بها.	Fifth: Each Party acknowledges that, for the duration of this Agreement, the correspondence address stated opposite its name at the beginning of this Agreement shall be deemed its official address for the purposes of any notices or communications relating to this Agreement. All correspondence sent to each Party at such address shall be deemed valid and sufficient for the purpose for which it was sent.
سادساً: تشكل هذه الاتفاقية الأساس الوحيد لالتزامات طرفيها فيما يخص موضوعها وتلغي كل تفاهمات أو اتفاقيات سابقة حول نفس موضوعها.	Sixth: This Agreement constitutes the sole and entire agreement between the Parties with respect to its subject matter and supersedes and cancels any prior understandings or agreements relating to the same subject matter.
سابعاً: يخضع تنفيذ وتفسير هذه الاتفاقية للأنظمة واللوائح السارية في المملكة العربية السعودية، ويحال أي نزاع ينشأ بشأنها إلى الجهة القضائية المختصة في المملكة العربية السعودية.	Seventh: The performance and interpretation of this Agreement shall be governed by the Laws and Regulations in force in the Kingdom of Saudi Arabia, any dispute arising therefrom shall be referred to the competent judicial authority in the Kingdom of Saudi Arabia.
ثامناً: حررت هذه الاتفاقية من نسختين أصليتين تسلم كل طرف نسخة للعمل بموجبها، وإشهاداً على ما تقدم، قام الطرفان وهما بتمام الرضا والاختيار وبحضور الشاهدين المذكورين أدناه بالتوقيع على هذه الاتفاقية.	Eighth: This Agreement has been executed in two original counterparts; each Party having received one copy to act upon accordingly. In witness whereof, the Parties acting with full consent and free will and in the presence of the witnesses named below, have signed this Agreement.
